POLICIES & STANDARD OPERATING PROCEDURES MANUAL
1.LEGAL & REGULATORY FRAMEWORK
This Manual is developed in accordance with the laws of the United Republic of Tanzania, including but not limited to the Land Act, Cap 113 R.E. 2019, the Village Land Act, Cap 114 R.E. 2019, the Land Registration Act,
Cap 334, and all applicable regulations issued by the Ministry responsible for Lands.
All brokers listing land through Evermark must ensure that land offered for sale complies with Tanzanian land tenure categories, including Granted Right of Occupancy, Customary Right of Occupancy, Derivative Rights,
or other legally recognized interests.
2.PURPOSE OF POLICY
This Policy establishes operational standards, compliance requirements, due diligence procedures, pricing controls, and ethical obligations governing all brokers registered on the Evermark platform.

4.BROKER REGISTRATION & ELIGIBILITY
All brokers must execute a formal Broker Agreement prior to listing also provide the following;
a. Valid National Identification (NIDA).
b. Proof of land ownership or lawful authority to sell (e.g, Power of Attorney).
c. Copy of Certificate of Title or Customary Right documentation.
d. Recent Land Rent Payment Receipt (where applicable).
e. Letter from Local Government Authority confirming land status (if required).
f. Tax Identification Number (TIN) for commercial brokers.
g. Recent Brella Search
h. Certificate of Incorporation of the Company
i. Board Resolution to working with Evermark
j. Bank letter with Bank Details
Evermark reserves the right to reject applications where documentation is incomplete, fraudulent, disputed, or inconsistent with statutory land records.
5.DUE DILIGENCE & VERIFICATION PROCESS
Evermark may suspend or reject any listing where legal irregularities are identified.
6.PRICE STABILITY & REVISION POLICY
Brokers shall maintain approved listing prices for a minimum period of twelve(12) months from the official listing date.
Price adjustments require written application, market justification, and formal approval by Evermark management.
Unauthorized price changes constitute breach of contract and may resulting suspension or termination.
7.COMMISSION STRUCTURE &PAYMENT CONDITIONS
Commission rates shall be defined in the Broker Agreement.
Commission becomes payable only after full purchase price is received into official Evermark accounts and compliance clearance is issued.
No commission shall be payable for transactions conducted outside the Evermark platform.
8.BROKER CONDUCT & PRIORITY RULE
Brokers must act with transparency and integrity at all times. Brokers shall not:

Priority Rule:
In the event of double allocation, priority shall be given to the purchaser whose full payment is first receivedthrough the officialEvermark platform and deposited into the Company’s designated account.
Off-platform payments shall not be recognized.
Breach of this clause may result in suspension, termination, and liability for damages.
9.SUSPENSION & TERMINATION
Evermark may suspend or terminate broker registration in cases of fraud, misrepresentation, breach of price stability rules, non-compliance with Tanzanian land laws, or reputational risk to the platform.
10.DISPUTE RESOLUTION
Disputes shall first undergo internal mediation. Where unresolved, matters shall be referred to competent courts of the United Republic of Tanzania or appropriate Land Tribunals established under Tanzanian law.
1.POLICY REVIEW& AMENDMENTS
Evermark reserves the right to amend this Manual in accordance with changes in Tanzanian land legislation or operational requirements. Updated versions shall be communicated formally.
